By downloading, installing, or using Steadie, you agree to be bound by these Terms and Conditions. Please read them carefully before using the app.

Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Azeez Odekanmi ("we," "us," or "our") regarding your use of the Steadie mobile application ("App").

By accessing or using Steadie, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

You represent that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. If you are using the App on behalf of another person (such as an elderly relative), you represent that you have the authority to bind that person to these Terms.

License Grant

2.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use.

Intellectual Property Rights

4.1 Our Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Trademarks

"Steadie" and our logo are trademarks of Azeez Odekanmi. You may not use these marks without our prior written permission.

4.3 Third-Party Intellectual Property

WhatsApp, NHS App, and other third-party app names and logos are trademarks of their respective owners. Our use of these names is solely for the purpose of identifying compatible applications and does not imply any endorsement or affiliation.

4.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the App ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, and distribute such Feedback for any purpose without any obligation to you.

Third-Party Applications

5.1 No Affiliation

Steadie is an independent application and is not affiliated with, endorsed by, or sponsored by WhatsApp LLC, Meta Platforms, Inc., NHS Digital, or any other third-party application providers.

5.2 Third-Party App Changes

Third-party applications may update their interfaces, features, or functionality at any time. We cannot guarantee that Steadie will always be compatible with the latest versions of third-party apps. We will make reasonable efforts to update our guidance when third-party apps change significantly.

5.3 Third-Party Terms

Your use of third-party apps through Steadie's guidance is subject to those apps' respective terms of service and privacy policies. We are not responsible for any third-party app content or services.

Disclaimers

6.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While Steadie provides guidance for navigating the NHS App, it does not provide medical advice. The App is not a substitute for professional medical care. Always consult with qualified healthcare professionals for medical decisions.

6.4 Accessibility Service

The use of Android's Accessibility Service is at your own risk. While we use this permission solely for displaying guidance overlays and detecting supported apps, you should understand the implications of granting accessibility permissions to any application.

6.5 Data Collection

By using Steadie, you acknowledge and agree that the App collects limited technical and usage data as described in our Privacy Policy, including device information, anonymous guide usage events, and push notification tokens. This data is transmitted to Google Firebase services and is used solely to maintain and improve guide quality.

Limitation of Liability

7.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE (12) MONTHS, OR FIFTY POUNDS (£50), WHICHEVER IS GREATER.

7.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE APP IS PROVIDED FREE OF CHARGE AND THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US.

Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact us at support@steadie.app and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or we may proceed to formal dispute resolution.

11.2 Governing Law

These Terms and any disputes arising out of or related to these Terms or the App shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

11.3 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the App shall be instituted exclusively in the courts of England and Wales, and you consent to the jurisdiction of such courts.

11.4 Time Limitation

You agree that any cause of action arising out of or related to the App must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

12.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person, except that WhatsApp, NHS Digital, and other third-party app providers are intended third-party beneficiaries of Section 5 (Third-Party Applications).

12.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
